Consolidation Meeting Minutes

                                                                             February 13, 2006

The meeting came to order at 6 PM with the following brethren in attendance:

Robert Gillahan, Donald Rogerson, Chester Davis Jr., Carleton Sanborn, and Peter Danforth

The following items were discussed:

• Election of officers for the committee for consolidation was held, with the following brethren being elected:
  • Chairperson – WB Chester H. Davis Jr.
  • Co – Chairperson – WB Donald Rogerson
  • Secretary – WB Carleton Sanborn
  • Treasurer –  B Jamie Campbell

• The name for this committee was agreed upon to be:

 The Star in the East – Mechanics Consolidation Committee

• A start-up amount for operation expenses was agreed to be solicited from the two lodges for the amount of $500.00. This will be used for mailings and other expenses incurred from the consolidation proceedings of the two lodges. More money will be requested at a later time on an as-needed basis. It was agreed that the amount does not have to be equal from both lodges at this time due to financial constraints of the Old Town lodge at present time.

• A mission statement was drafted for this newly titled committee:

Mission Statement

The mission of the the Star in the East – Mechanics Consolidation Committee is to oversee the  consolidation process of the Star in the East Lodge #60 and Mechanics Lodge #66; to keep lines of communication open between membership of both lodges and to keep  the Grand Lodge of Maine informed of the progress.

• Committees are needed to assist in the consolidation process, some are as follows:
  • Bylaws
  • Charity (Help, Aid & Assist)
  • Building
  • Naming

• The following brethren have been suggested to sit on these committees and assist in this process:
  • Bylaws: Chair – Chad Smith, Mark Libby, Bill Reese, Robert Miles
  • Charity: Chair – John Hale Jr., Gilles Girard, Bill Oliver, Charles Norburg Jr.
  • Building: Chair – Chellis Sanborn, Fred Otto, Stan Fish IV, Jamie Campbell
  • Naming: Chair – Elmer Buchannan, Cecil Simon, Harold Chute, Charlie Johnson

• Duties of these committees are as follows:

• Bylaws: To formulate a set of bylaws for the newly formed lodge. To work in conjunction with all other committees. To present a rough draft to the consolidation committee chairperson no later than April 28, 2006.

• Charity: To draft a set of rules and regulations for the operation of the Charity Committee of the newly formed lodge, including who will serve on the committee. To present a rough draft to the bylaws committee chairperson on or before April 14, 2006.

• Building: To set up parameters for the governing body that will oversee the operations of the building and properties of the newly formed lodge. To present a rough draft to the bylaws committee chairperson on or before April 14, 2006.

• Naming: To solicit the membership of both lodges’ suggestions for a name for the newly formed lodge. The name should be a common representation of both lodges. To present a rough draft to the bylaws committee chairperson on or before April 14, 2006.

• The next meeting of the Star in the East – Mechanics Consolidation Committee will be held in Old Town on April 30, 2006 at 6:00 PM.

• Meeting adjourned at 8:30 PM.
